Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern access to and use of the AxisKey platform, websites, software, and related services (collectively, the “Platform”) operated by AxisKey (“AxisKey,” “Company,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Description of Services

AxisKey provides software, marketing infrastructure, investor acquisition tools, customer relationship management (CRM), analytics, and related operational solutions designed to support capital raising, investor management, and business growth workflows.

Services may include, without limitation:

  • Investor and prospect management

  • Marketing automation and campaign tools

  • Deal and fund support tools

  • Communication and messaging infrastructure

  • Analytics and reporting

  • Third-party integrations

AxisKey may modify, suspend, or discontinue any feature at any time.

3. Eligibility

You represent and warrant that:

  • You are at least eighteen (18) years old;

  • You have authority to bind any entity you represent;

  • Your use of the Platform complies with all applicable laws, including securities, marketing, privacy, and consumer protection laws.

4. Account Registration and Security

You agree to:

  • Provide accurate and complete information;

  • Maintain the confidentiality of login credentials;

  • Promptly notify AxisKey of unauthorized use.

You are responsible for all activity under your account.

5. Acceptable Use

You shall not use the Platform to:

  • Violate any law or regulation;

  • Offer or promote investments in violation of securities laws;

  • Send unlawful or non-compliant marketing communications;

  • Upload malicious code or interfere with Platform security;

  • Infringe intellectual property rights;

  • Misrepresent investment opportunities or business offerings.

AxisKey may suspend or terminate accounts that violate these Terms.

6. Regulatory and Investment Disclaimer

AxisKey provides technology, marketing infrastructure, and operational tools only.

AxisKey:

  • Is not a broker-dealer;

  • Is not an investment adviser;

  • Does not provide investment, legal, or tax advice;

  • Does not guarantee capital raising results;

  • Does not ensure regulatory compliance for your offerings.

You are solely responsible for compliance with all applicable securities and marketing laws.

7. Fees and Payment

If you purchase paid services:

  • Fees are due as specified in your Order Form or subscription;

  • All fees are non-refundable except as expressly stated;

  • AxisKey may suspend services for non-payment;

  • You authorize AxisKey to charge your payment method on file.

8. Customer Data

You retain ownership of all data, contacts, and content you upload (“Customer Data”).

You grant AxisKey a limited, worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and improve the Platform.

You represent that you have all necessary rights and consents to use and upload Customer Data.

9. Third-Party Services

The Platform may integrate with third-party services (including but not limited to Meta, Google, Twilio, email providers, and payment processors).

AxisKey is not responsible for:

  • Third-party service availability;

  • Policy changes by third parties;

  • Data handling outside AxisKey systems;

  • Performance of third-party platforms.

10. Intellectual Property

The Platform, including all software, design, text, graphics, and functionality, is owned by AxisKey and protected by intellectual property laws.

Except as expressly permitted, you may not:

  • Copy or reproduce the Platform;

  • Reverse engineer or decompile;

  • Create derivative works;

  • Resell or sublicense access.

11. Confidentiality

You agree not to disclose non-public information about the Platform or AxisKey’s technology except as permitted by law or written consent.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

AXISKEY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

AXISKEY SHALL NOT BE LIABLE FOR:

  • LOST PROFITS OR REVENUE

  • INVESTMENT LOSSES

  • REGULATORY ACTIONS

  • INDIRECT OR CONSEQUENTIAL DAMAGES

AXISKEY’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO AXISKEY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless AxisKey from any claims arising from:

  • Your use of the Platform;

  • Your investment offerings;

  • Your Customer Data;

  • Your violation of law or these Terms.

15. Termination

AxisKey may suspend or terminate access at any time for:

  • Breach of these Terms;

  • Non-payment;

  • Legal or compliance risk.

Upon termination, your license to use the Platform immediately ends.

16. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

17. Changes to Terms

AxisKey may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
